Lead Counsel - Corporate

As lead counsel on corporate matters you’ll have a broad range of responsibilities counseling the company on issues of corporate governance, M&A, and securities law. Entrepreneurial by nature, you will have immediate impact with your analytic rigor, seasoned judgment, effective counseling, and ability to get things done. Responsibilities
- Take accountability for important issues and decisions and see them through.
- Advise on cross-functional company projects related to governance, corporate structure, and finance.
- Advise the Board of Directors and company management on corporate governance issues.
- Draft, negotiate and review all types of corporate agreements, including mergers and acquisitions.
- Build and manage legal processes in conjunction with other function and legal leads.
- Build a corporate legal team that exemplifies Dropbox values.
Requirements
- Extensive experience with, and intellectually curious about, corporate governance and securities law topics.
- Detail-oriented with strong organizational skills and proven ability to manage high-impact projects.
- Skilled at drafting, negotiating and interpreting corporate agreements.
- Exceptional written and verbal communication skills.
- Comfortable navigating complicated, sensitive, and nuanced issues.
- Guided by integrity. Sophisticated understanding, and commitment to, personal and professional ethics.
- Great interpersonal skills and ability to work well in a fast-paced team environment.
- 10+ years experience in a relevant setting.
- JD, admitted to the Bar, distinctive academic record.
